Bursa Malaysia will suspend trading of MKH Bhd shares on the Main Market five market days after the extended closing date of Batu Kawan Bhd’s unconditional mandatory takeover offer. This follows Batu Kawan and its parties acting in concert reaching valid acceptances amounting to at least 90% of MKH’s nominal share value as of 5pm on September 30, 2026.
According to a filing by Maybank Investment Bank Bhd submitted on behalf of Batu Kawan and MKH, the collective stake held by Batu Kawan, Whitmore Holdings Sdn Bhd, and affiliated parties has increased to 95.16%, representing approximately 548.84 million shares. Upon reaching the 90% threshold, Batu Kawan and its ultimate offerer intend to invoke Section 222(1) of the Capital Markets and Services Act 2007 (CMSA) to compulsorily acquire the remaining shares from dissenting shareholders.
As a result, MKH shares will cease to be traded on Bursa Malaysia following the suspension. Subsequently, the offerer and ultimate offerer will initiate procedures for MKH to delist from the official Bursa Malaysia list, in accordance with Paragraph 16.07 of the Listing Requirements.
The mandatory takeover offer, which remains open for acceptance until 5pm on October 8, 2026, was made by Batu Kawan to acquire the remaining shares in MKH at an offer price of RM2 per share. This move effectively consolidates Batu Kawan’s control over MKH, a property development company listed on Bursa Malaysia.
