Butterfly Equity, a private equity firm based in Los Angeles that focuses on the food and beverage sector, has agreed to acquire Sabert Holding Corp., a global manufacturer known for its innovative and sustainable food packaging solutions. The transaction, which did not disclose financial terms, is expected to close in the fourth quarter of 2026, pending customary closing conditions.

Founded in 1983 and headquartered in Sayreville, New Jersey, Sabert operates 13 manufacturing facilities worldwide, including nine in the United States. The company offers a broad portfolio of products spanning plastic, paper, and molded fiber materials. Its customer base includes foodservice distributors, supermarkets, grocery retailers, restaurants, quick-service restaurants (QSRs), as well as fresh protein and food processors. Sabert holds more than 400 product patents and maintains dedicated research, tooling, and innovation capabilities to support ongoing product development.

Albert Salama, the founder and executive chairman of Sabert, characterized Butterfly Equity as a fitting partner for the company’s next phase of growth. Salama will retain a significant minority stake in Sabert following the completion of the deal, signaling alignment among the founder, management, and investors through his rollover investment.

The acquisition aligns with Butterfly Equity’s strategy to invest in businesses that support the evolving food and beverage sector, particularly in segments related to packaging. Adam Waglay, Butterfly’s CEO, co-founder, and managing partner, described Sabert as a leading player in its category with substantial growth potential. He emphasized the growing importance of packaging amid rising consumer demands for convenience and flexibility.

Legal and financial advisory roles for the deal were undertaken by Kirkland & Ellis and KPMG for Butterfly Equity, while UBS Investment Bank and Goldman Sachs served as financial advisors to Sabert. Simpson Thacher & Bartlett and FBT Gibbons provided legal counsel for Sabert. Committed financing for the transaction is being provided by UBS Investment Bank, Goldman Sachs & Co., and KKR Capital Markets.
