GE HealthCare Technologies is reportedly in advanced discussions to acquire Sofie Biosciences, a private company specializing in radioactive chemicals used in cancer imaging, in a deal valued at approximately $1 billion. The potential transaction, which could be announced as soon as next week pending final approvals, aims to strengthen GE HealthCare’s position in the pharmaceutical diagnostics sector.
Sofie Biosciences develops radiopharmaceuticals primarily for positron emission tomography (PET) scans, which are used to detect cancers such as those affecting the gastroesophageal and pancreatic regions. The company’s proprietary radioisotopes enhance the ability to diagnose and monitor these diseases.
This acquisition would mark GE HealthCare’s second major purchase since its spin-off from the US conglomerate General Electric in January 2023. The separation of GE into three distinct publicly traded entities––GE HealthCare, GE Vernova (power), and GE Aerospace––represented one of the most complex restructurings in recent corporate history.
Since its debut on the stock market, GE HealthCare’s shares have increased roughly 12%, giving it a market value near $28.8 billion. However, this growth has lagged behind its sister companies; GE Vernova’s market capitalization has surged sevenfold to $254 billion, while GE Aerospace’s stock price has more than doubled. Most recently, GE Aerospace agreed to acquire Consolidated Precision Products, a manufacturer of engine cooling components, for $11.75 billion.
The Sofie acquisition is expected to bolster GE HealthCare’s pharmaceutical diagnostics division, which provides the agents essential for nuclear imaging scans. Currently, Sofie Biosciences remains predominantly owned by its founders and management, alongside private equity firm Trilantic. Trilantic, formerly the merchant banking arm of the collapsed Lehman Brothers, acquired a 25.8% stake in Sofie in 2024 at a valuation near $550 million.
Representatives for GE HealthCare declined to comment on the ongoing talks. Sofie Biosciences and Trilantic also did not immediately respond to inquiries regarding the potential deal.
