Getty Images announced plans to file for bankruptcy and transition to a private company as part of a comprehensive debt restructuring agreement expected to conclude by the end of 2026. The visual-content provider intends to initiate a streamlined Chapter 11 bankruptcy process shortly, seeking court approval for the terms agreed upon with its principal creditors.
The restructuring follows the collapse of Getty’s proposed merger with Shutterstock amid mounting financial pressures, including significant debt obligations and intensified competition from artificial intelligence-generated imagery. The company aims to strengthen its balance sheet and position itself for future growth.
Under the agreement, affiliates of the Getty family, together with Koch Equity Development, will assume full ownership of the reorganized company. These investors have committed to injecting up to $533 million in new equity to support Getty through the restructuring and facilitate its move to private ownership.
The restructuring deal includes several important concessions from the company’s creditors. Holders representing 83.5% of Getty’s unsecured bonds have agreed to retire $270 million of outstanding unsecured notes, reducing the overall debt burden. Additionally, approximately 89% of secured bond and term loan holders, along with 100% of the lenders on the revolving credit facility, have consented to lowered interest obligations and extended debt maturities.
Getty Images plans to continue its operations normally during the bankruptcy process, with financial backing from Koch Equity Development expected to provide up to $143 million in new financing. The objective is to stabilize the company’s finances, avoid liquidation, and enable the company to emerge from bankruptcy in a stronger financial position under private control.
This restructuring marks a significant strategic reset for Getty Images as it seeks to adapt to evolving market challenges, including the rise of AI-driven competitors and rapid changes in digital content demand. By securing support from key creditors and investors, Getty aims to maintain its position as a leading provider of visual media in a competitive industry landscape.
