Rawahel Holding Company KSC has completed a capital increase totaling KD 4.5 million, more than doubling its issued and paid-up capital by approximately 123.84 percent. The move, finalized between June 21 and July 5, 2026, was managed by National Investments Company (NIC), which served as Lead Manager and Subscription Agent, ensuring compliance with regulatory requirements.

The capital raise attracted subscriptions exceeding 104 percent of the offered amount, signaling strong investor confidence in Rawahel’s growth strategy and management despite ongoing global economic challenges. The proceeds are intended to bolster the company’s financial position and support expansion initiatives, including increased funding for a subsidiary aimed at enhancing operations and expanding its transportation fleet through bus acquisitions, as well as meeting working capital needs.

Fahad AlMukhaizim, Board Member and Chief Executive Officer of NIC, highlighted the successful execution of the transaction as a testament to NIC’s expertise in handling complex capital market activities. He noted the company’s commitment to fostering Kuwait’s capital markets by delivering innovative financial solutions that improve liquidity and create attractive investment options. “Our team worked closely with investors to ensure a smooth subscription process that resulted in full coverage of the offering,” AlMukhaizim stated.

Abdullah Al-Otaibi, Chairman of Rawahel Holding Company, emphasized the capital increase as a significant milestone affirming shareholder and investor confidence in the company’s future. He expressed appreciation for the cooperation of regulatory authorities and all parties involved, noting the transaction was conducted seamlessly and in full compliance with legal frameworks.

NIC’s role in this transaction builds on its established record of managing capital market deals including initial public offerings, listings, and mergers and acquisitions. As a leading regional investment firm, NIC reaffirmed its dedication to delivering integrated investment solutions focused on sustainable growth, governance, and transparency.

This successful capital increase reinforces the resilience of Kuwait’s capital markets and highlights investor willingness to support well-structured corporate growth initiatives amid economic uncertainties. Both Rawahel and NIC regard the outcome as a positive development that will contribute to long-term value creation in the Kuwaiti investment landscape.
