National Real Estate Company (NREC) has announced continued advancement in its portfolio optimization and capital allocation strategy following a strategic review conducted by its Board and management. The company’s latest transaction, part of an extensive divestment program, involves the sale of a majority stake in Carina Views Property Development Limited, which holds two land plots on Al Reem Island in Abu Dhabi.

The contractual sale consideration for the transaction is AED 400 million (approximately KD 33.4 million), with potential total proceeds reaching AED 470 million (around KD 39.2 million), contingent on agreed terms. At the initial closing, the buyer paid AED 200 million (approximately KD 16.7 million) for a 50% stake via a certified cheque. An additional AED 120 million is scheduled for payment four months later for a further 30% stake, secured by a dated cheque. NREC will retain a 20% ownership share, valued at AED 80 million, along with two board seats and a put option exercisable within 12 months after the second closing.

If the put option is not exercised, NREC will maintain priority distribution rights of up to AED 150 million and will receive 20% of future dividends. The company expects to recognize a profit of approximately KD 8.2 million from the transaction in the third quarter of 2026. Further potential profits depend on the put option’s execution.

NREC anticipates that its net debt will decrease to below KD 100 million upon completion of the full transaction. This deal is part of a broader effort by the company to optimize its portfolio, enhance financial flexibility, and position itself for future growth and value creation.

Vice Chairman and Chief Executive Officer Faisal Jamil Sultan Al-Essa emphasized the significance of the transaction, noting that it marks a key milestone in NREC’s ongoing strategy to reshape its portfolio and reinforce its financial position. He added that the company will continue to explore disciplined capital allocation opportunities, including potential investments in housing projects within Kuwait and considerations for dividend distributions, contingent upon approvals from the Board and Annual General Meeting.
