Nvidia’s recent financial arrangements with its customers have drawn attention for their complexity, prompting debate about whether the chipmaker is engaged in “circular financing.” While Nvidia and its partners reject this label, critics say the transactions resemble a modern form of vendor financing, a strategy historically employed by companies to help clients purchase more products than they otherwise could.

Over the past year, Nvidia has significantly expanded its financial support to key customers in the artificial intelligence (AI) sector, including OpenAI and data center operators like CoreWeave. Rather than relying solely on traditional loans, Nvidia has made substantial equity investments, holding $42 billion in unlisted shares as of April, up from $3 billion a year earlier. These investments include a $30 billion injection into OpenAI and $10 billion in Anthropic.

Unlike circular financing—which implies value creation is illusory—Nvidia’s equity stakes do not necessarily flow directly back into chip purchases. When such investments do result in sales, they are conducted on commercial terms, bolstering both Nvidia’s revenue and its strategic foothold in these rapidly growing AI firms. This approach is somewhat akin to vendor financing seen in other industries but adapted to the unique demands of the AI hardware market.

In addition to equity investments, Nvidia provides credit guarantees for some customers, amounting to approximately $3.5 billion so far. Reports suggest that the company may extend guarantees of up to $250 billion to OpenAI. While such arrangements must be disclosed, structuring them as credit derivatives could mitigate their immediate impact on Nvidia’s balance sheet.

Nvidia’s chief executive, Jensen Huang, appears to be pushing this financing model further by assuming roles traditionally held by customers. Reports indicate Nvidia has committed $50 billion in leases for a Texas-based data center designed to host its chips. This arrangement could enable Nvidia to sublet the center’s services, effectively embedding the company deeper into its customers’ operational infrastructure.

The rationale behind these practices lies in the rapid pace of development within AI. Companies like OpenAI require enormous computing capacity that often exceeds what they can raise through conventional equity or debt markets. By financing their customers, Nvidia stands to gain not only from chip sales but also from returns on its equity investments if the AI industry’s growth continues as expected.

However, this strategy also increases Nvidia’s financial exposure. If customers underperform or collapse, Nvidia risks losing both a client and the capital invested. While equity stakes carry the risk of potential write-downs, credit guarantees could transform valuation losses into more severe solvency concerns. Still, Nvidia’s substantial cash reserves—approximately $80 billion—and its sizeable annual cash flow of nearly $200 billion provide a buffer against such risks for the foreseeable future.

As Nvidia embraces more aggressive vendor financing methods, it departs from its traditionally conservative approach to debt, reflecting the unique dynamics of the AI sector. While its cutting-edge chips drive technological progress, the financial techniques supporting their expansion echo longstanding practices, underlining the continued need for careful risk management.
