Qualcomm has agreed to acquire Modular, an artificial intelligence software company, in a deal valued at approximately $3.9 billion. The transaction, announced Tuesday, is structured primarily as a stock issuance that will transfer up to 19.2 million shares of Qualcomm common stock to Modular’s equity holders. This figure is based on Qualcomm’s closing share price of $204.13 on Tuesday, resulting in a deal valuation of about $3.92 billion.

Modular specializes in AI software designed to optimize performance across various hardware platforms, enabling developers to deploy artificial intelligence applications more efficiently and at a lower total cost. Qualcomm aims to leverage this technology to accelerate the adoption of AI from devices to cloud environments, streamlining the production process for its customers.

The stock shares issued as part of the acquisition will be sold through a private placement. Despite the strategic move to strengthen its AI capabilities, Qualcomm’s shares dipped 3.3% on Wednesday, closing at $197.41. The company’s plans highlight its ongoing focus on expanding AI initiatives and offering enhanced solutions to meet the increasing demand for faster and more cost-effective AI deployment.
