SoftBank Group is in preliminary discussions to acquire Allied Universal, a major global private-security firm, from its private-equity owners, according to individuals familiar with the matter. If the transaction proceeds, it could value Allied Universal at up to $18 billion, excluding the company’s outstanding debt. Allied is currently backed by Warburg Pincus, a U.S.-based buyout firm, and La Caisse, a Canadian pension fund.

This potential deal marks another significant move by SoftBank, the Japanese technology conglomerate led by billionaire Masayoshi Son, as it deepens its commitment to artificial intelligence (AI) and robotics. Over recent years, SoftBank has transitioned away from a diversified startup investment approach to focus heavily on AI-related ventures. Notable investments include a $64 billion stake in OpenAI, plans for an extensive network of data centers, ownership of the chip design company Arm, and a $5.4 billion acquisition last year of the industrial robotics division of Swiss engineering firm ABB.

At first glance, SoftBank’s interest in a private-security company may seem tangential to its AI strategy. However, Allied Universal has integrated AI-driven technologies into its services, aiming to enhance safety and operational efficiency. Its AI-powered tools provide real-time data collection, incident detection, and GPS tracking, which the company asserts help reduce customer liability and improve security outcomes.

Allied Universal, headquartered in the United States, operates in over 100 countries and territories worldwide. It deploys both armed and unarmed security personnel and offers a broad range of security technologies across various industries. According to its corporate website, the company generates approximately $23 billion in annual revenue.

Warburg Pincus first invested in Allied’s predecessor, Universal Services of America, in 2015. The following year, Universal merged with AlliedBarton Security Services, forming Allied Universal. In 2019, La Caisse acquired a minority stake in the combined entity in a deal valuing it at more than $7 billion. The company further expanded its global footprint in 2021 by acquiring the U.K.-based security group G4S for about £3.8 billion (roughly $5.1 billion at today’s exchange rates).

A sale to SoftBank at a valuation of $18 billion would represent a significant return for Warburg and La Caisse on their investments in Allied Universal. While the talks remain in the early stages and no agreement has been finalized, the potential acquisition underscores SoftBank’s broader ambition to blend AI capabilities with physical services and infrastructure.
