Tribal Group, the educational software company, has disclosed receiving a new cash offer from its largest shareholder, Jenzabar, valuing the company at 111 pence per share. This bid comes amid a competing proposal from Main Capital Partners, which values Tribal at £231.2 million, or 105 pence per share.
Jenzabar, a US-based education software company, holds a 26.2 percent stake in Tribal and has been an investor since 2015. The company indicated that the potential offer would be financed through a combination of existing cash reserves, debt facilities, and additional debt or equity funding from third parties. Jenzabar has formally requested that Tribal’s board adjourn a general meeting scheduled for Friday, where a vote on Main Capital’s proposal was set to take place. The shareholder also urged other investors to oppose the Main Capital resolution.
In response, Tribal’s directors maintained their recommendation that shareholders back the Main Capital proposal. Main Capital has reportedly secured irrevocable commitments from shareholders controlling over 50 percent of Tribal’s voting rights, ensuring majority support for its offer. Investors subject to these undertakings were advised to seek independent guidance regarding their voting obligations.
Market reaction to the competing bids has been muted. Tribal shares edged up by 1 penny, or 1 percent, closing at 101 pence—still below Jenzabar’s proposed offer price. This modest increase reflects investor caution about the likelihood and timing of the higher bid prevailing.
Aside from Tribal, the broader market saw some retraction in housebuilder shares following gains on Monday linked to the government’s revised Help to Buy scheme. Vistry’s shares fell 7.8 percent to 264.5 pence, while Barratt Developments and Redrow declined 1.3 percent to 340.5 pence. Howden Joinery’s stock dropped 1.6 percent to 769 pence. Persimmon saw a slight increase of 0.4 percent, closing at £13.29.
The FTSE 100 index ended the day down 48.2 points, or 0.4 percent, at 10,636.71, while the FTSE 250 rose 39.5 points, or 0.2 percent, to 24,374.81.
